The Compensation Committee assists the Board with its decision making regarding First Quantum's approach to compensation plans, including those for named executive officers, and reviews and recommends the CEO’s compensation for approval by the Board.

The Compensation Committee recommends to the Board compensation plans that will attract, retain and motivate key senior people to achieve outcomes that are consistent with the long-term interests of our shareholders. The Compensation Committee also reviews succession planning for the CEO and other key people. The Board has delegated responsibility to the Compensation Committee to review, identify and mitigate risks associated with First Quantum's compensation policies. This includes ensuring that executive compensation policies are designed not to encourage excessive risk-taking for short term outcomes. Each of the Committee members has held senior management positions in public companies and has considerable experience in developing executive compensation programs.
