Our management team leads the day-to-day business and operations, acting with integrity towards employees, investors, and host communities. This approach is essential for generating shareholder value and ensuring the company’s sustained performance.

Our Board of Directors provides independent oversight and governance, holding management accountable for the company’s performance. The Board’s primary role is to ensure First Quantum is well-managed and operating in the best interests of its shareholders and other key stakeholders, including employees and local communities. The Board also considers the impacts of our operations on the environment and society.

The key roles of the Board include:

• Strategic Oversight: The board reviews and approves the company’s overall strategy proposed by management, ensuring it aligns with long-term goals and risk tolerance.
• Risk Governance: The board oversees the risk management framework to ensure that management identifies, assesses, and mitigates significant risks.
• Leadership and Succession: The board is responsible for appointing, compensating, and overseeing the senior management team, including the CEO, and planning for their succession.
• Financial and Reporting Integrity: The board ensures the integrity of financial reporting and internal controls.
• Ethical and Environmental Stewardship: The board oversees how the company manages its responsibilities regarding human health, safety, and environmental protection.

The Board’s work is supported by four Committees of the Board which operate under specific Charters and enable detailed review of a range of policy and regulatory areas before decisions
are made by Directors.

The Board of Directors and Management Group are also supported by key financial, operational and compliance staff.
